Effective Date: October 20, 2026 Company: SODL LLC, a Delaware limited liability company registered to do business in Minnesota ("SODL," "we," "us") Licensed brokerage: SODL LLC holds real estate brokerage licenses in the states listed in Section 1.5 Website: https://www.sodl.com Contact: Legal@sodl.com · 12760 Aberdeen St NE, Ste 120, Blaine, MN 55449
These Terms of Use ("Terms") are a binding agreement between you and SODL. By creating an account, clicking "I Agree," or using any feature that requires acceptance, you agree to them. If you do not agree, do not use the Services.
Read These First
- SODL is both a technology platform and a licensed real estate brokerage. These Terms govern the platform. Your listing agreement, facilitator services agreement, or other signed brokerage agreement governs the brokerage relationship, and nothing in these Terms waives any duty we owe you under the real estate laws of the state where your property is located.
- Using the website does not make SODL your broker. Browsing listings, creating an account, running a calculator, or chatting with an automated assistant does not create a brokerage or representation relationship. That happens only through a signed agreement and the agency disclosures your state requires.
- SODL acts as a facilitator, not an agent. Unless a signed agreement says otherwise, SODL provides brokerage services to both buyers and sellers without acting as either party's agent, under whatever non-agency relationship your state recognizes (for example, a "facilitator" in Minnesota). SODL does not represent either party's interests against the other and does not practice dual agency.
- Automated outputs are estimates, not promises. Valuations, net-proceeds calculators, AI-generated drafts, and transaction recommendations can be wrong. Review them before you rely on them, and ask a SODL licensee or your own professional when money or legal rights are involved.
- These Terms do not require arbitration. Disputes go to Minnesota courts after a 30-day informal resolution period (Section 21).
1. About SODL and the Services
1.1 What we do.
SODL operates a technology-enabled real estate brokerage that helps consumers list, market, buy, and close on residential real estate for a flat fee. "Services" means SODL.com and every website, app, dashboard, automated tool, communication, and brokerage service SODL provides.
1.2 What the Services may include.
Depending on availability and your signed agreements: property search and MLS/IDX/VOW listing data; seller onboarding, pricing tools, and listing preparation; professional photography and marketing; electronic documents and signatures; showing scheduling with licensed showing agents; identity, ownership, and financing verification; offer preparation, presentation, and tracking; transaction dashboards and deadline reminders; closing-cost and net-proceeds calculators; AI-assisted guidance and document drafting; and integrations with lenders, title companies, inspectors, and other providers. Listing a feature here does not guarantee it is available to you.
1.3 Where we operate.
SODL provides brokerage services only where it and its licensees are licensed to do so. A listing or feature visible from another state is not an offer to provide brokerage services there.
1.4 Separate agreements.
Brokerage services require signed agreements, such as a listing agreement, a facilitator services agreement, a compensation agreement, and the agency relationship disclosures your state requires. Those agreements govern fees, duration, termination, and services for your transaction. These Terms govern platform access. Section 23.2 says which controls if they conflict.
1.5 State licensing and state-specific terms.
SODL LLC holds the brokerage licenses below. The state where the property is located determines which license, regulator, brokerage relationship, and disclosure forms apply to your transaction. Where a state-specific term in this table or in a state addendum conflicts with the general Terms, the state-specific term controls for transactions in that state.
| State | Licensed entity | License no. | Regulator | Non-agency relationship | Required relationship disclosure |
|---|---|---|---|---|---|
| Minnesota | SODL LLC | 40935965 | Minnesota Department of Commerce | Facilitator (Minn. Stat. § 82.55) | Agency Relationships in Real Estate Transactions form |
| Wisconsin | SODL LLC | 905214-91 | Wisconsin Department of Safety and Professional Services | Brokerage services without agency (Wis. Stat. ch. 452) | Wisconsin Disclosure to Customers / agency agreement |
2. Eligibility and Accounts
2.1 Age and capacity.
You must be at least 18 and legally able to enter binding contracts to create an account or use transactional features.
2.2 Accurate information.
You agree to provide accurate, complete, and current information, including your legal name, contact details, and property ownership information, and to correct it promptly when it changes.
2.3 Account security.
You are responsible for your credentials and the devices you use to access SODL. Do not share passwords, authentication codes, lockbox codes, or access tokens. Notify us immediately at Legal@sodl.com of any suspected unauthorized access.
2.4 Acting for others.
If you use SODL on behalf of another person, a trust, an estate, or an entity, you represent that you have legal authority to do so. We may ask for proof. An account does not by itself establish authority to buy, sell, or encumber real estate.
2.5 Verification and restriction.
We may require additional verification, invalidate sessions, or restrict an account when reasonably necessary to investigate fraud, protect confidential information, secure the platform, or comply with law.
3. Brokerage Relationships
3.1 Non-agency brokerage model.
SODL's standard brokerage relationship with both buyers and sellers is a non-agency relationship: SODL assists the parties without representing either one as an agent. In Minnesota that relationship is a facilitator under Minnesota Statutes Chapter 82; other states recognize the equivalent under their own names and statutes, listed in Section 1.5. In that role SODL presents all offers, provides information, and prepares documents at your direction, but does not negotiate on your behalf or advocate for your interests against the other party. Any different relationship must be created by a signed agreement and the disclosures your state requires.
3.2 No automatic relationship.
Using the website, creating an account, requesting information, or interacting with automated systems does not create a brokerage relationship. Any duties that arise before a signed agreement are those imposed by law.
3.3 Relationship disclosure.
SODL provides the brokerage relationship disclosure form your state requires (see Section 1.5) at the time that state's law requires it.
3.4 No dual agency.
SODL does not act as a dual agent. Nothing in these Terms is consent to dual agency.
3.5 Licensed oversight.
Automated systems assist SODL's licensees; they do not replace the broker supervision, professional judgment, and compliance review that law requires.
3.6 Your decisions.
You decide your list price, which offers to accept, what terms to propose, which service providers to use, and whether to proceed. SODL does not guarantee that any decision will produce a particular result.
3.7 No guaranteed outcome.
SODL does not guarantee that a property will sell, financing will be approved, an offer will be accepted, or a closing will occur, or that any price or timeline will be achieved.
4. Seller Responsibilities
4.1 Authority.
By submitting a property, you represent that you own it or have legal authority to sell it. We may require proof of ownership, identity, and signing authority.
4.2 Accurate property information.
You are responsible for truthful, complete, and timely information about your property, including title and ownership, boundaries, structural condition and known defects, water intrusion or mold, roof and mechanical systems, permits and improvements, wells and septic systems, HOA status, liens and assessments, rental or occupancy arrangements, and every material fact Minnesota law requires you to disclose.
4.3 Disclosures are yours.
SODL's questionnaires and compliance prompts help you organize disclosures. They do not replace your legal duty to disclose, and a "complete" status in the platform does not mean every required disclosure has been made.
4.4 Review before publication.
You must review your listing before it goes live and tell us promptly about errors or material changes. SODL may correct, reject, or remove listing content to comply with law, MLS rules, or platform standards.
4.5 Activation.
Submitting a listing does not guarantee immediate MLS publication. Activation depends on signed agreements, completed disclosures, photography, broker review, and MLS rules.
4.6 Pricing.
You set your asking price. Any suggested price or market analysis from SODL is informational and not a guarantee of value or sale price.
4.7 Marketing.
Marketing deliverables are defined in your listing agreement. SODL does not guarantee impressions, inquiries, showings, or offers.
4.8 Showings and participation.
SODL's model requires sellers to keep the property showing-ready, allow scheduled access through SODL's platform and lockbox, complete disclosures, and respond to transaction requests. Sellers do not personally conduct showings; every buyer showing is accompanied by a licensed agent. Your participation does not reduce SODL's own obligations as a licensed brokerage.
4.9 Fees on cancellation.
Any cancellation fee, rush fee, or fee earned if the listing expires or is withdrawn is set out in your listing agreement, not here.
5. Buyer Responsibilities
5.1 Search tools.
Search results may include listings from other brokerages, MLS feeds, and public records. See Section 7 for data limitations.
5.2 Buyer services.
The scope of buyer services, the platform fee, included showings, per-showing charges, deposits, and any buyer credit at closing are governed by your signed facilitator services agreement and SODL buyer addendum.
5.3 Financing verification.
We may require a mortgage preapproval, proof of funds, or lender contact before scheduling showings or submitting offers. Providing it does not guarantee financing, and SODL does not control lender decisions, appraisals, or loan terms.
5.4 Due diligence.
You are responsible for investigating the property, including inspections, surveys, title review, insurance, and any other professional evaluation you consider necessary. SODL's facilitator duties do not include investigating the property for you.
5.5 Showing conduct.
All showings are scheduled through SODL's platform and attended by a licensed agent. Each property toured counts as one showing under your agreement, including the final walkthrough. You may cancel a pending request until SODL confirms it with the seller. Section 11 covers access and conduct rules.
5.6 Buyer credits.
Any buyer credit or rebate depends on your signed agreement, the compensation SODL actually receives, lender and loan-program rules, and applicable law. No credit is guaranteed by creating an account or searching. If cooperating compensation on a transaction is less than SODL's platform fee, you owe the difference at closing as your agreement provides.
6. Fees, Commissions, and Rebates
6.1 Pricing.
SODL offers flat-fee brokerage services and optional add-on services. The fees for your transaction are the ones in your signed agreement.
6.2 Compensation is negotiable.
Real estate brokerage compensation is not set by law or by any MLS. Nothing in these Terms establishes a standard or mandatory commission.
6.3 Third-party costs.
Title charges, recording fees, taxes, inspections, surveys, lender fees, HOA fees, and seller concessions are separate from SODL's fee and are paid to the applicable third party unless your agreement says otherwise.
6.4 Invoicing and payment.
SODL does not store payment cards on file. Fees not collected at closing are invoiced with a secure payment link and are due on the terms stated on the invoice. SODL may use third-party payment processors, whose terms apply to the payment itself.
6.5 Buyer credits.
Where permitted, buyer credits are calculated and paid at closing under your signed agreement and may be limited or prohibited by lender rules, loan programs, or law.
6.6 Refunds and cancellation.
Refund rights, cancellation fees, and fees earned on termination are governed by your signed agreement and by law. These Terms do not take away any refund or cancellation right the law gives you.
6.7 Estimates.
Displayed savings, estimated proceeds, and projected costs are estimates. Actual figures depend on negotiated terms, taxes, payoffs, lender charges, and other factors.
7. MLS, IDX, VOW, and Property Data
7.1 Sources.
Listing information comes from MLS organizations, other brokerages, property owners, public records, and other licensed data providers.
7.2 Accuracy and availability.
Listing data can be wrong, incomplete, or out of date, and a property shown as available may already be under contract or sold. Verify square footage, lot size, boundaries, school assignments, zoning, taxes, and any other characteristic that matters to your decision. This does not excuse SODL from its own legal duty to disclose and correct information it knows to be wrong.
7.3 Authorized use only.
MLS data is licensed for your personal, non-commercial real estate use. You may not scrape, harvest, redistribute, republish, sublicense, or commercially use it.
7.4 VOW access.
Some data is available only after you register, confirm a relationship with SODL, and accept the VOW terms. You agree to use that data only for your own real estate purposes.
7.5 Ownership.
MLS organizations, listing brokers, and data licensors keep all rights in their data and media. SODL may limit or remove data when MLS rules, licenses, or law require.
7.6 No endorsement.
Displaying a listing is not an endorsement or guarantee of the property.
8. Artificial Intelligence and Automated Tools
8.1 How we use AI.
SODL uses artificial intelligence, predictive analytics, and automated document processing to assist users and support brokerage operations. These tools may be provided by third-party technology vendors; their handling of your data is covered by our Privacy Policy.
8.2 AI can be wrong.
AI outputs may be inaccurate, incomplete, outdated, or misleading, including errors in calculations, document interpretation, factual statements, and legal terminology. SODL does not guarantee the accuracy of any AI output.
8.3 Review before you rely.
Review AI-generated information before acting on it, especially anything involving money, contract terms, disclosures, legal rights, or deadlines. SODL provides licensed review where brokerage law requires it.
8.4 Drafts are not contracts.
AI-generated drafts, summaries, and suggested contract language are not final documents until reviewed, completed, approved, and signed as the transaction requires.
8.5 Not a professional relationship.
Interacting with an AI assistant does not create an attorney-client, accountant-client, lender-borrower, or other professional relationship.
8.6 Valuations and recommendations.
AI-assisted valuations are estimates, not appraisals, unless a licensed appraiser expressly provides one. Negotiation and pricing suggestions are informational and not guarantees of a result.
8.7 No binding action without you.
Automated workflows may draft, remind, organize, and recommend. They do not make binding transaction decisions on your behalf unless you expressly authorize the action through a process SODL provides and the law permits.
8.8 AI-generated media.
AI-enhanced photos and descriptions must not misrepresent the property or hide known defects. SODL may reject or remove media that violates advertising standards or MLS rules.
8.9 Compliance tools.
Automated compliance checks help identify missing or inconsistent information. A passed check is not a guarantee of legal compliance.
8.10 SODL remains responsible.
Using automated technology does not reduce SODL's duty to exercise reasonable care, comply with brokerage law, or supervise its licensees.
9. Electronic Documents and Signatures
9.1 Electronic transactions.
SODL may prepare, deliver, and store transaction documents electronically, including listing agreements, facilitator services agreements, agency disclosures, purchase agreements, counteroffers, amendments, and seller disclosures.
9.2 Separate E-SIGN consent.
Before you sign electronically, you will be asked to consent to electronic records under the federal E-SIGN Act and your state's electronic transactions law. That consent is separate from these Terms, and you will be told how to get paper copies and how to withdraw consent.
9.3 Your signature.
When you sign electronically, you represent that you are the named signer with authority to sign. Electronic signatures carry the same legal effect as handwritten ones, and signed documents create enforceable obligations.
9.4 Review before signing.
You are responsible for reading documents before you sign them and asking questions first. SODL remains responsible for the explanations and disclosures the law requires of a licensee.
9.5 Errors and delivery.
Document systems can mis-populate fields, drop attachments, or fail. Report any material error promptly. A document appearing in your dashboard does not by itself mean legally effective delivery or acceptance has occurred; the contract and the law decide that.
9.6 Records.
SODL keeps signed documents, communications, and audit trails (creation, access, edits, signatures, timestamps) as applicable state brokerage recordkeeping law requires.
10. Transactions, Offers, and Deadlines
10.1 Offers.
SODL provides tools to prepare offers, counteroffers, and amendments. You approve the substantive terms of anything submitted on your behalf. SODL will not knowingly submit a binding offer without your authorization, and no platform feature gives SODL or anyone else authority to bind you beyond what you have lawfully granted.
10.2 Presentation.
As a facilitator, SODL presents all offers and counteroffers to the party they are addressed to, subject to that party's instructions and applicable law.
10.3 Deadlines are yours.
Purchase agreements contain deadlines for financing, inspections, earnest money, title objections, appraisals, and closing. Missing one can cost you contractual rights or the transaction. Dashboard reminders are a convenience; they do not change a deadline, and SODL does not guarantee every reminder will be generated or received. The signed contract controls over any date shown in the platform. Tell us immediately if they differ.
10.4 Status is not closing.
A platform status such as "pending," "approved," or "closed" reflects a workflow step, not a legal determination. A transaction is closed when the contractual, financing, title, recording, and settlement requirements are actually satisfied.
10.5 Third parties.
SODL does not control lenders, inspectors, appraisers, title companies, government offices, or HOAs and is not responsible for their acts or delays, except where liability arises from SODL's own conduct.
10.6 Negotiation risk.
Offers may be rejected, withdrawn, or countered. SODL does not guarantee any offer will be accepted or any negotiation strategy will succeed.
11. Showings and Property Access
11.1 How showings work.
All showings are requested and scheduled through SODL's platform and conducted by a licensed real estate agent using a SODL-managed lockbox. Sellers do not conduct showings. SODL does not offer self-guided or unaccompanied access.
11.2 Verification first.
SODL may require identity verification, proof of funds, or a mortgage preapproval before confirming a showing. Verification reduces risk but does not guarantee any person's identity, intentions, or financial capacity.
11.3 Authorized entry only.
No one may enter a property without authorization from the owner or listing brokerage, and no one may be admitted to a showing who was not scheduled for it.
11.4 Conduct.
While at a property, you must follow access instructions, stay with the agent, and must not damage property, remove or photograph personal belongings, share access codes, or use the showing for any purpose other than evaluating the property.
11.5 Seller precautions.
Sellers should secure valuables, medications, firearms, confidential documents, and pets before each showing.
11.6 Property conditions.
Properties may contain stairs, uneven surfaces, construction materials, animals, or other hazards. Visitors must use reasonable care.
11.7 Lockboxes and security.
Electronic lockboxes can fail or be tampered with. SODL does not guarantee that verification, lockboxes, or showing logs will prevent all unauthorized entry. Report suspected unauthorized entry, missing property, or lockbox problems to Legal@sodl.com; report emergencies to 911.
11.8 Responsibility.
You are responsible for property damage, theft, unauthorized entry, or other loss caused by your negligent or unlawful conduct during a showing.
12. Listing Media and Content License
12.1 Your content.
You may upload photos, videos, floor plans, descriptions, and other materials. You represent that you own them or have the right to use them, and that they do not infringe anyone else's rights.
12.2 License to SODL.
You grant SODL a nonexclusive, worldwide, royalty-free license to reproduce, edit, format, display, distribute, and sublicense your listing materials as needed to provide brokerage services, market your property, and distribute the listing to MLS organizations, syndication partners, advertising platforms, and service providers. This license lasts as long as needed to perform those services and to satisfy MLS and legal retention requirements.
12.3 SODL-created media.
Photography, 3D tours, aerial imagery, and other media SODL or its vendors produce belong to SODL or the vendor. You receive a license to use them for your transaction. MLS rules may require SODL to license them to the MLS.
12.4 No misrepresentation.
Edited or AI-enhanced images and descriptions must not misrepresent the property's condition, size, features, or location. Virtual staging must be labeled where MLS or advertising rules require.
12.5 Floor plans and measurements.
Generated floor plans and measurements may be inaccurate and are not a substitute for a survey or professional measurement.
12.6 Removal.
SODL may edit or remove content to correct inaccuracies, comply with law or MLS rules, or respond to an intellectual property claim.
13. Valuations, Calculators, and No Professional Advice
13.1 Estimates only.
Comparative market analyses, estimated values, mortgage calculations, net-proceeds estimates, and commission-savings comparisons are informational estimates based on stated assumptions. Actual figures may differ materially.
13.2 Not an appraisal.
No valuation from SODL is a certified appraisal unless a licensed appraiser expressly provides one.
13.3 Not a loan offer.
Mortgage figures are not loan offers, approvals, or rate guarantees.
13.4 Not legal, tax, lending, or investment advice.
SODL's general tools and content are not individualized legal, tax, accounting, lending, or investment advice. Consult a qualified attorney, tax professional, or lender for questions about title, estates, capital gains, exclusions, financing, or investment risk. This does not limit the brokerage advice and disclosures SODL's licensees are required to provide under your state's law and your signed agreement.
13.5 Investment risk.
Real estate carries risk, including market changes, financing costs, vacancies, repairs, and loss of capital.
14. Third-Party Providers and Referrals
14.1 Independent providers.
SODL may refer you to or integrate with lenders, title companies, inspectors, attorneys, contractors, photographers, appraisers, and insurance providers. They are independent businesses with their own agreements, and SODL does not guarantee their quality, pricing, licensing, or performance.
14.2 Your choice.
You may use any qualified provider you choose unless a specific transaction arrangement lawfully requires otherwise.
14.3 Affiliated business disclosure.
Where SODL has an ownership interest in or receives compensation from a settlement service provider, SODL will give you the Affiliated Business Arrangement Disclosure that RESPA requires before referring you. You are never required to use an affiliated provider as a condition of SODL's services.
14.4 Showing agents.
Showings may be conducted by independent licensed agents engaged by SODL or a showing-service company. Their compensation is handled under SODL's agreements with them; SODL remains responsible for conduct that is legally attributable to it.
14.5 Third-party technology.
Software and services from other companies may be subject to their own terms and privacy notices and may become unavailable.
15. Privacy, Security, and Communications
15.1 Privacy Policy.
How SODL collects, uses, shares, and keeps personal information is described in the SODL Privacy Policy, which is part of these Terms.
15.2 Sensitive information.
Some Services require identification documents, financial information, ownership records, and signed contracts. SODL processes that information to provide the Services, administer transactions, prevent fraud, and meet legal obligations.
15.3 Security.
SODL uses reasonable administrative, technical, and physical safeguards. No internet service is completely secure, and you are responsible for your own device and credential security.
15.4 Retention.
SODL keeps transaction records for the period applicable state brokerage law and tax law require, even after you close your account.
15.5 Incidents.
SODL will respond to security incidents and provide the notifications law requires.
15.6 Transactional communications.
SODL may contact you by email, phone, text, and in-app notification about your account, documents, showings, and transactions. These communications continue while a transaction is active even if you opt out of marketing.
15.7 Marketing consent.
Agreeing to these Terms is not consent to automated marketing calls or texts. Where the law requires it, SODL will obtain that consent separately, and you may opt out at any time.
15.8 Delivery.
Electronic messages can be delayed, filtered, or blocked. Keep your contact information current, and do not rely on a platform notification where a contract or law requires a specific form of notice.
16. Intellectual Property and Acceptable Use
16.1 SODL's property.
SODL and its licensors own the platform, software, designs, workflows, databases, trademarks, and content. You receive a limited, revocable, nonexclusive, nontransferable license to use the Services for their intended purpose. All other rights are reserved.
16.2 Feedback.
If you give SODL suggestions or feedback, SODL may use them without restriction or compensation.
16.3 Trademarks.
Do not use SODL's name, logo, or branding in a way that suggests affiliation or endorsement SODL has not authorized.
16.4 Prohibited conduct.
You agree not to:
- Use the Services for any unlawful purpose or in violation of fair housing laws.
- Provide false information, impersonate anyone, or misrepresent your authority, credentials, or intent to buy or sell.
- Submit false or misleading property information, disclosures, financial documents, offers, or identification.
- Forge or misuse an electronic signature, or sign for someone without authority.
- Use edited or AI-generated media to conceal defects or misrepresent a property.
- Enter a property without authorization, admit unscheduled persons to a showing, or use a showing for anything other than evaluating the property.
- Share credentials, lockbox codes, or access information with unauthorized persons.
- Access, disclose, or misuse another user's confidential information, offers, or transaction details.
- Scrape, crawl, harvest, redistribute, or commercially exploit MLS data or platform content without SODL's written authorization.
- Reverse engineer, decompile, or attempt to extract SODL's source code, algorithms, or trade secrets, except as law expressly permits.
- Interfere with the platform's security or operation, introduce malicious code, or circumvent authentication, verification, disclosure, or compliance controls.
- Manipulate AI systems, transaction records, audit trails, listing data, or pricing histories to produce false or unauthorized results.
- Circumvent payment requirements, submit fraudulent payment information, initiate unauthorized chargebacks, or provide false information to obtain a credit or refund.
- Harass, threaten, or defame other users, SODL personnel, or service providers, or post fake reviews or testimonials.
- Send spam or unsolicited commercial messages, or harvest user contact information for solicitation.
- Use the Services to conduct brokerage activity that requires a license you do not hold.
17. Enforcement, Suspension, and Termination
17.1 Investigation and enforcement.
SODL may investigate suspected violations and, where reasonably necessary, issue warnings, remove content, require additional verification, restrict access to showing systems or confidential data, suspend or terminate platform access, preserve evidence, report unlawful conduct to authorities, and pursue legal remedies. SODL is not obligated to monitor all activity, but nothing here limits any supervisory duty the law imposes on SODL.
17.2 Cooperation.
You agree to cooperate reasonably with lawful investigations of fraud, unauthorized access, or material violations. SODL may preserve and disclose information in response to subpoenas, court orders, regulatory requests, or other legal process.
17.3 Closing your account.
You may close your account through account settings or by emailing Legal@sodl.com.
17.4 Active agreements survive.
Suspending or terminating platform access does not terminate a listing agreement, facilitator services agreement, or purchase agreement. Any change to brokerage services must comply with those agreements and Minnesota law, and SODL will take the steps the law requires to protect active clients and their transaction records.
17.5 Retention after closure.
SODL keeps records after account closure where law requires.
17.6 Survival.
Sections on intellectual property, payment obligations, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law survive termination.
18. Disclaimer of Warranties
18.1 Platform provided as is.
TO THE FULLEST EXTENT PERMITTED BY LAW, SODL PROVIDES ITS WEBSITE, APPLICATIONS, SOFTWARE, AND AUTOMATED TOOLS "AS IS" AND "AS AVAILABLE," AND DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED AVAILABILITY.
18.2 No performance guarantee.
SODL does not warrant that the platform will be error-free, continuously available, compatible with every device, free of security vulnerabilities, or that automated outputs will be accurate or complete.
18.3 Third-party information.
SODL does not warrant information supplied by sellers, buyers, MLS organizations, public records, or other third parties.
18.4 Brokerage services excluded.
This section disclaims warranties on the technology platform only. It does not disclaim the duties of a licensed real estate broker under the law of the state where the property is located, the standard of care owed under your signed brokerage agreement, or any consumer protection that cannot be waived.
19. Limitation of Liability
19.1 No indirect damages.
TO THE FULLEST EXTENT PERMITTED BY LAW, SODL AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM USE OF OR INABILITY TO USE THE PLATFORM, INCLUDING LOSSES FROM OUTAGES, SOFTWARE ERRORS, DELAYED NOTIFICATIONS, INACCURATE THIRD-PARTY DATA, AI-GENERATED ERRORS, OR UNAUTHORIZED THIRD-PARTY CONDUCT.
19.2 Cap for platform-only claims.
For claims arising solely from the technology platform and not from brokerage services, SODL's total liability is limited to the greater of (a) $1,000 or (b) the amount you paid SODL for the specific technology service at issue in the 12 months before the claim arose.
19.3 What is not limited.
These limitations do not apply to fraud, intentional misconduct, gross negligence, breach of SODL's duties as a licensed broker, violation of a nonwaivable statute, or any other liability the law does not allow to be limited.
19.4 Risk allocation.
These limitations allocate the risks of the technology platform and are part of the basis on which SODL offers it.
20. Indemnification
20.1 Your indemnity.
To the extent permitted by law, you agree to defend, indemnify, and hold harmless SODL and its members, officers, employees, contractors, and affiliates from third-party claims, damages, and reasonable legal costs arising from: your material violation of these Terms; your unlawful conduct; false or misleading information you knowingly provide; unauthorized use of another person's identity, account, or signature; content you upload that infringes another's rights; unauthorized disclosure of confidential information; and property damage or injury caused by your negligent or intentional conduct.
20.2 Limits.
You are not required to indemnify SODL for losses caused by SODL's own negligence, unlawful conduct, or breach of its professional duties.
20.3 Process.
SODL will give you prompt notice of any claim for which it seeks indemnification, and the parties will cooperate in the defense. You may not settle a claim in a way that imposes obligations on SODL without SODL's written consent, which will not be unreasonably withheld.
21. Dispute Resolution and Governing Law
21.1 Talk first.
Before filing suit over a dispute arising from these Terms, you and SODL agree to try to resolve it informally. Send a written notice to Legal@sodl.com with the subject line "Legal Dispute Notice" describing the parties, the dispute, relevant dates, supporting documents, and the resolution you want. SODL will send its notices to the email address on your account. The parties will attempt resolution in good faith for 30 days after the notice is received.
21.2 Exceptions.
The 30-day period does not prevent either party from seeking emergency or injunctive relief, meeting a filing deadline, or taking any step the law requires.
21.3 Courts, not arbitration.
These Terms do not require arbitration. Disputes arising from these Terms will be decided by a state or federal court of competent jurisdiction located in Minnesota, and you consent to that venue, subject to any mandatory consumer protection or venue law that provides otherwise.
21.4 Transaction documents control their own disputes.
An arbitration clause in a purchase agreement or other transaction document governs only the parties to that document under its own terms. Accepting these Terms is not consent to arbitrate anything, and SODL is not a party to a buyer-seller dispute merely because the transaction ran through its platform.
21.5 Governing law.
These Terms are governed by Minnesota law without regard to conflict-of-law rules. Disputes over title, conveyance, or other substantive rights in real property are governed by the law of the state where the property is located.
21.6 Regulators.
Nothing in these Terms limits your right to file a complaint with the real estate regulator in your state (listed in Section 1.5), your state attorney general, a fair housing agency, or any other regulator.
21.7 Injunctive relief.
SODL may seek injunctive relief to stop unauthorized use of its intellectual property, confidential information, or systems.
22. Fair Housing and Accessibility
22.1 Equal opportunity.
SODL complies with the federal Fair Housing Act and the fair housing laws of every state and locality where it operates, including the Minnesota Human Rights Act and the Wisconsin Open Housing Law. SODL does not discriminate based on race, color, religion, national origin, sex, familial status, disability, sexual orientation, gender identity, marital status, age, ancestry, source of income or receipt of public assistance, or any other characteristic protected by applicable law.
22.2 Your content.
Listing descriptions, advertisements, and photos must not express unlawful preferences or limitations.
22.3 Accessibility.
SODL works to make its website and services accessible. If you encounter a barrier or need an accommodation, contact Legal@sodl.com and SODL will provide reasonable accommodation or an alternative method of access as the law requires.
22.4 Reporting.
Report suspected discrimination to Legal@sodl.com, your state's human rights or fair housing agency, or the U.S. Department of Housing and Urban Development.
23. General Terms
23.1 Changes to these Terms.
SODL may update these Terms as its services, technology, or legal requirements change. Updated Terms are posted at SODL.com with a new effective date. For material changes, SODL will notify you by email or in-app notice and, where required, ask you to accept the new Terms before continuing. Changes do not retroactively alter a signed agreement or rights that have already accrued. If you do not agree to updated Terms, stop using the affected Services, subject to any continuing obligations under your signed agreements.
23.2 Order of precedence.
If documents conflict, they control in this order: (1) applicable law; (2) a signed purchase agreement or other transaction contract, as to its parties; (3) a signed listing, facilitator services, or compensation agreement, as to the brokerage relationship; (4) separately accepted terms for a specific feature; (5) these Terms. A contract between a buyer and seller does not change SODL's rights or obligations unless SODL is a party to it.
23.3 Entire agreement.
These Terms, the Privacy Policy, and any separately accepted feature terms are the complete agreement between you and SODL about platform access. They do not modify any signed brokerage agreement.
23.4 Relationship.
Using the platform does not create an employment, partnership, joint venture, or franchise relationship. You may not represent that you have authority to bind SODL.
23.5 Assignment.
You may not assign these Terms without SODL's written consent. SODL may assign them in connection with a merger, acquisition, or sale of substantially all relevant assets, and any transfer of personal information remains subject to the Privacy Policy and applicable law. Assignment of a brokerage agreement is governed by that agreement and licensing law.
23.6 Force majeure.
SODL is not liable for delay or failure in performing non-mandatory obligations caused by events beyond its reasonable control, including natural disasters, power or telecommunications outages, cyberattacks not caused by SODL's failure to meet its security obligations, government orders, and widespread third-party infrastructure failures. SODL will use commercially reasonable efforts to restore service. This does not excuse brokerage duties or statutory obligations.
23.7 Severability and waiver.
If any provision is unenforceable, the rest remain in effect and the provision is limited only as far as necessary. SODL's failure to enforce a provision is not a waiver of it.
23.8 Copyright complaints.
If you believe content on SODL infringes your copyright, send a notice meeting the requirements of 17 U.S.C. § 512(c)(3) to SODL's designated agent at Legal@sodl.com or the mailing address above. SODL responds to valid notices and counter-notices as the DMCA provides and may terminate repeat infringers.
23.9 Notices.
Legal notices to SODL go to Legal@sodl.com or SODL LLC, Attn: Legal, 12760 Aberdeen St NE, Ste 120, Blaine, MN 55449. Service of process must follow applicable law; an email to a support address is not service. SODL may notify you at the email address on your account or in the platform. Notices under a signed brokerage or purchase agreement must follow that agreement.
23.10 Interpretation.
Headings are for convenience. "Including" means "including without limitation." No provision will be read to require unlawful conduct or waive a right that cannot be waived. These Terms may be presented, accepted, and stored electronically.
24. Acknowledgment and Acceptance
By clicking "I Agree" or another acceptance control, you confirm that:
- You have had the opportunity to read these Terms.
- You understand SODL is both a technology platform and a licensed real estate brokerage, and that using the website alone does not make SODL your broker.
- You understand SODL's standard brokerage role is a non-agency relationship (a facilitator in Minnesota), not an agent, and that separate signed agreements govern any brokerage services.
- You understand that valuations, calculators, and AI outputs are estimates that may be wrong, and that electronic signatures create binding obligations.
- You understand SODL does not guarantee a sale, an accepted offer, financing, a closing, or any financial result.
- You have read the warranty, liability, indemnification, and dispute resolution provisions, and you understand that none of them waive SODL's legally required brokerage duties or your nonwaivable consumer rights.
If you do not agree, do not accept these Terms or use any Service that requires acceptance.
